Terms & Conditions

1. Overview

These Terms and Conditions govern the relationship between MSPG Startups, a division of MSP Growth ("Company," "we," "us," or "our") and the client ("you" or "Client") who purchases website design and development services. By engaging our services, you agree to these terms in full.

2. Services

MSPG Startups provides website design, development, and digital optimization services as described in the package selected at the time of purchase. Services include but are not limited to website design and build on the Framer platform, basic on-page SEO setup, AI search readiness configuration, and one round of revisions as outlined in your selected package.

The scope of services is limited to what is described in your selected package. Any work outside that scope, including additional pages, major copywriting, custom integrations, or significant change requests, will be quoted and billed separately before work begins.

3. Timeline

We deliver all website builds within 10 business days from the official kickoff date. The kickoff date is defined as the date on which the Client has provided all required materials, including brand assets, source copy, logo, fonts, colors, booking app details, and Framer template selection.

The 10-business-day timeline is contingent on the Client providing timely feedback and consolidated revisions during the review period. Delays caused by late delivery of materials, delayed feedback, or requests outside the agreed scope will extend the timeline accordingly. MSPG Startups is not responsible for delivery delays caused by the Client's failure to provide required materials on time.

4. Client Responsibilities

To ensure timely delivery, the Client agrees to provide the following at or before kickoff:

• Brand assets including logo, colors, and fonts

• Source copy, which may include pitch deck content, product notes, or founder notes

• Booking app details and credentials

• Framer Pro or Scale plan subscription and access credentials

• A designated point of contact authorized to provide feedback and approvals

• Consolidated feedback during the revision round within 3 business days of draft delivery

5. Payment

All packages are billed as one-time charges due in full before work begins. We do not begin design or development until payment is received and confirmed. Payments are non-refundable once the project kickoff has occurred and work has commenced.

For services quoted separately outside the standard package scope, a separate invoice will be issued and must be paid in full before additional work begins.

6. Revisions

Each package includes one round of revisions. A revision round is defined as a single consolidated set of feedback submitted by the Client after reviewing the draft website. Revisions must be submitted within 3 business days of the draft being delivered.

Revisions are limited to adjustments within the original agreed scope. Requests that constitute new features, new pages, significant copy rewrites, or structural changes to the site architecture are considered out of scope and will be quoted separately.

Additional revision rounds beyond the one included in the package are available and will be billed at our standard hourly rate.

7. Intellectual Property and Ownership

Upon receipt of full payment, the Client owns all website content, copy, and design assets created specifically for their project. MSPG Startups retains the right to display the completed website in our portfolio and marketing materials, including but not limited to our website, social media, case studies, and sales presentations, unless the Client requests otherwise in writing prior to project kickoff.

The Client is responsible for ensuring they own or have the legal right to use all materials provided to us, including logos, images, copy, and any other brand assets. MSPG Startups is not responsible for intellectual property claims arising from Client-provided materials.

Framer templates used as the foundation for Client websites are subject to Framer's own licensing terms. The Client is responsible for maintaining a valid Framer subscription to keep their website live and functional.

8. Third-Party Platforms

MSPG Startups builds websites on the Framer platform. Continued website functionality depends on the Client maintaining an active Framer subscription. We are not responsible for any interruption, degradation, or loss of service caused by Framer platform outages, pricing changes, policy changes, or account issues on the Client's Framer account.

Any third-party integrations requested by the Client, including booking apps, CRM tools, analytics platforms, or email marketing tools, are subject to the terms and conditions of those respective platforms. MSPG Startups is not responsible for the performance or availability of third-party tools.

9. Limitation of Liability

MSPG Startups is not liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use the delivered website, including but not limited to loss of revenue, loss of business, loss of data, or reputational harm.

Our total liability to the Client for any claim arising from services rendered shall not exceed the total amount paid by the Client for the project in question.

10. SEO and AI Search Results

We implement SEO and AI search readiness best practices on every build. However, we make no guarantees regarding specific search engine rankings, AI citation frequency, or website traffic outcomes. Search engine and AI platform algorithms are outside our control and subject to change at any time.

11. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the project. This includes but is not limited to business strategies, product details, financial information, and client data. This obligation survives the completion or termination of the engagement.

12. Termination

Either party may terminate the engagement with written notice. If the Client terminates the engagement after kickoff and work has commenced, the project payment is non-refundable. If MSPG Startups terminates the engagement for reasons other than Client breach of these terms, a prorated refund will be issued based on work completed.

13. Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve it through good-faith negotiation. If a resolution cannot be reached within 30 days, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The governing law of these terms is the law of the State of Ohio.

14. Amendments

MSPG Startups reserves the right to update these Terms and Conditions at any time. Clients will be notified of material changes. Continued use of our services following notification constitutes acceptance of the updated terms.

15. Entire Agreement

These Terms and Conditions, together with the selected package description and any separately agreed scope of work, constitute the entire agreement between the Client and MSPG Startups and supersede any prior discussions, representations, or agreements.
