1. Agreement to These Terms

These Terms of Use ("Terms") govern your access to and use of the website at https://10spring.io and any related domains, content, and tools we operate (collectively, the "Site"), provided by 10spring LLC doing business as 10spring ("10spring," "we," "us," "our").

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

These Terms do not govern our client services. Services we perform for clients are governed exclusively by a separate written master services agreement and statement of work. If anything in these Terms conflicts with a signed services agreement, the services agreement controls for that client.

2. Who May Use the Site

The Site is intended for business users who are at least 18 years old and, where acting for an organization, authorized to do so on its behalf.

3. License to Use the Site

We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your own internal business or personal informational purposes.

You may:

• Read, download, and print Site content for internal reference;

• Share links to any page on the Site;

• Quote reasonable excerpts of our published articles and research with attribution to 10spring and a link to the source page; and

• Cite our published research in your own work, with attribution.

You may not:

• Resell, sublicense, or commercially redistribute Site content;

• Republish substantial portions of our content, or create derivative works from it, without our written permission;

• Remove or alter attribution, copyright, or trademark notices; or

• Present our content as your own.

4. Intellectual Property

The Site and its contents. Text, graphics, logos, images, video, data compilations, software, page design, and the selection and arrangement of content are owned by 10spring or its licensors and are protected by copyright, trademark, and other laws.

"10spring," our logo, Pipeline Engines, Specialized Campaigns, and our other names, marks, and frameworks are trademarks of 10spring, whether or not registered. You may not use them without our prior written permission, except in factual references to us (for example, in a news article or a comparison), provided the reference is not misleading and does not imply endorsement.

Third-party names and marks appearing on the Site, including software platforms we use or write about, belong to their respective owners. Their appearance does not imply affiliation, endorsement, or partnership unless we say so expressly.

5. Free Tools

We may offer tools, calculators, checkers, or reports at no charge (the "Free Tools"), including tools that analyze publicly available information about a domain or report on how AI systems reference a website.

By using a Free Tool, you agree that:

• You will submit only domains and information you own or are authorized to analyze;

• You will use the Free Tools for legitimate business research and not to harass, surveil, or disparage any third party;

• You will not use automated means to access the Free Tools, exceed reasonable usage limits, or attempt to bypass rate limits;

• You will not resell, white-label, or systematically extract Free Tool outputs; and

• We may limit, suspend, modify, or discontinue any Free Tool at any time without notice.

Free Tool outputs are estimates. They are generated from third-party data sources and automated systems that are incomplete, non-deterministic, and subject to change. Outputs are provided for general informational purposes and are not a professional assessment of your business, your website, or your competitive position. Do not rely on them for business, financial, or legal decisions.

6. Your Submissions

If you submit content to us, such as form responses, survey answers, comments, feedback, ideas, or suggestions ("Submissions"), you represent that you have the right to submit it and that it is accurate and not unlawful, infringing, defamatory, or harmful.

Feedback and suggestions. You grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate any feedback or suggestions you provide about our services, content, or tools, without obligation or compensation to you.

Other Submissions. You retain ownership of your Submissions. You grant us a non-exclusive, worldwide, royalty-free license to use them for the purpose for which you submitted them and to operate and improve the Site and our services. We will not publish your Submission publicly, or attribute it to you or your company by name, without your permission.

7. Acceptable Use

You agree not to:

• Use the Site in violation of any law or regulation;

• Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Site, its servers, or connected systems;

• Introduce malware or any harmful code;

• Impersonate any person or entity, or misrepresent your affiliation;

• Use the Site to send unsolicited commercial messages;

• Ccrape, harvest, or extract contact information for outbound marketing or list-building purposes; or

• Use automated systems in a manner that imposes an unreasonable load on our infrastructure.

8. Automated Access, Crawling, and AI Systems

We welcome indexing and crawling by search engines and AI systems. Subject to the acceptable-use limits in Section 7 and the technical directives in our robots.txt file, we permit:

• Crawling and indexing by search engines;

• Crawling by AI and large language model systems for indexing, retrieval, summarization, and citation; and

• Quotation of our content in AI-generated answers, provided the content is attributed to 10spring and, where the interface supports it, linked to the source page.

We do not permit:

• Automated access that ignores robots.txt or asserted rate limits;

• Extraction of personal contact information for outbound marketing (see Section 7);

• Wholesale reproduction of our content, or of our research reports in substantial part, in a manner that substitutes for the original; or

• Automated access that degrades Site performance for other users.

We may change these permissions at any time by updating this section and our robots.txt.

9. No Professional Advice; No Guaranteed Results

Content on the Site, including articles, research, frameworks, benchmarks, measurement standards, and Free Tool outputs, is provided for general informational purposes. It is not legal, financial, tax, accounting, or professional advice, and it does not create a client relationship. Consult qualified professionals before acting.

We do not guarantee results. Marketing outcomes depend on factors outside our control, including your product, market, pricing, competition, sales execution, and the policies and algorithms of third-party platforms. In particular:

• No one can guarantee rankings in search engines, and we do not;

• No one can guarantee that any website will be cited or referenced by an AI system, and we do not. AI systems are non-deterministic and their behavior changes without notice; and

• Any figures, benchmarks, case studies, or results described on the Site reflect specific engagements under specific conditions and are not a prediction or promise of your results.

10. Third-Party Links and Services

The Site links to third-party websites, tools, and resources we do not control. We provide them for convenience and do not endorse them or accept responsibility for their content, practices, or availability. Your dealings with third parties are solely between you and them.

11. Privacy

Our Privacy Policy at https://10spring.io/privacy describes how we handle personal information and is incorporated into these Terms by reference.

12. Disclaimer of Warranties

THE SITE, ITS CONTENT, AND THE FREE TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR ITS SERVERS ARE FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR FREE TOOL OUTPUT.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, 10SPRING AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR THE FREE TOOLS, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SITE OR THE FREE TOOLS WILL NOT EXCEED [ONE HUNDRED DOLLARS ($100)].

SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO SOME MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify and hold harmless 10spring and its officers, members, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Site or Free Tools, your Submissions, or your violation of these Terms or applicable law.

15. Termination

We may suspend or terminate your access to the Site or any Free Tool at any time, for any reason, without notice. Sections that by their nature should survive, including Sections 4, 6, 9, 12, 13, 14, 16, and 17, survive termination.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws principles.

Any dispute arising from or relating to these Terms or the Site will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Cincinnati, Ohio. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver: disputes will be arbitrated only on an individual basis, and you and 10spring waive any right to participate in a class, collective, or representative action. Either party may seek injunctive relief in court to protect intellectual property rights.

17. General

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and 10spring regarding the Site, superseding prior understandings.

Severability. If any provision is held unenforceable, the remainder stays in effect.

No waiver. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.

Changes. We may modify these Terms at any time by posting the revised version with an updated date. Continued use after changes take effect constitutes acceptance.

Electronic communications. By using the Site or contacting us, you consent to receive communications from us electronically, and you agree that electronic communications satisfy any legal requirement that communications be in writing.
